Terms of Use for SubTracker (Innopulse Consulting GmbH)
Preamble
These terms of use govern the use of the SubTracker application, provided by Innopulse Consulting GmbH, Gotthardstrasse 30, 6300 Zug, Switzerland. By using our services, you agree to these terms. These terms of use are subject to the provisions of the General Data Protection Regulation (GDPR) and the Swiss Data Protection Act (DSG). They apply to all digital services, including mobile apps and other platforms, offered by SubTracker.
1. Definitions
Service: The features and services offered by SubTracker.
User: Any natural or legal person who uses SubTracker’s services.
Content: All data, text, files and information uploaded or generated by users.
Data: All information that is collected, processed and stored as part of the use of SubTracker.
Contract: The agreement between the User and SubTracker regarding the use of the Services.
Subscription: The paid or free usage model for SubTracker’s services.
Paid services: All services for which a fee is charged.
Contracting party: Natural or legal persons who have concluded a contract with SubTracker.

3. Scope of services and subject matter of the contract
The SubTracker application offers the following main functions:
Dashboard: Overview of all activities and notifications.
Subscription management: Manual entry and management of subscriptions.
Notification system: creation and management of notifications.
Analysis dashboard: Visualization of expenses and optimization suggestions.
Enterprise module: Tools for managing subscriptions at the organizational level.
Integration with calendars: Google Calendar, Apple Calendar and Microsoft Calendar.
Support: Access to help documents and contact options for support requests.
Service level agreements (SLAs): Details on the availability and performance of services.
Restrictions and Service Interruptions: Notices of possible limitations or interruptions of the service.
4. Registration and Account
Registration: Users must register to use SubTracker’s services. Registration requires the provision of personal information such as name, email address and password.
Account management: Users can manage their personal information, language settings and currency in the account. They can also change the password and activate two-factor authentication (2FA).
Delete account: Users can delete their account at any time, removing all stored data.
Obligation to provide truthful information: Users are obliged to provide truthful and complete information when registering and using the account.
Updating registration data: Obligation to update the data in case of changes.
Account suspension: In case of violations of the terms of use, SubTracker reserves the right to temporarily or permanently suspend the user’s account.
Account recovery: Possibility of recovering accounts after blocking under certain conditions.
5. Privacy Policy
The protection of your personal data is important to us. Please read our Privacy Policy for detailed information on how we process and protect your data. This policy also covers the data collected through the integration of third-party services such as Google Drive, Dropbox, etc.
Data retention period and deletion: Personal data is only stored for as long as it is necessary to achieve the purpose of its processing or as required by the statutory retention periods. The data is then deleted. Your data is also stored securely and only transferred within Switzerland or in countries with an adequate level of data protection.
6. Payments
Payments are processed via Stripe. Stripe is a secure payment service provider. For more information, see the Stripe privacy policy.
Payment Methods: Accepted payment methods include credit cards, debit cards, and other methods supported by Stripe.
Billing periods and cycles: Users can choose between monthly and annual billing.
Refunds: Refund policies and procedures for disputing billings.
Reminder procedures and fees for late payment: Information about reminder procedures and fees for late payment.
Chargebacks and subscription changes: Clarification on how chargebacks and subscription changes are handled.
7. Contract term and termination
Monthly and Annual Subscriptions: Use of the SubTracker services can be subscribed to on either a monthly or annual basis. Users can choose the subscription model that best suits their needs. The respective billing period begins on the day the subscription is activated.
Notice periods and modalities:
Monthly subscriptions: The monthly subscription can be canceled at any time with 7 days’ notice until the end of the current billing period.
Annual subscriptions: The annual subscription can be canceled at any time with 30 days’ notice until the end of the current billing period.
Cancellation process: Users can cancel the subscription through their account in the “Account Settings” section. Alternatively, they can send an email with their cancellation request to info@subtracker.io. Upon receipt of the cancellation, a confirmation will be sent to the user’s registered email address.
Early Termination: In case of early termination of an annual subscription, no refunds will be made for the remaining term. Exceptions may be made in special circumstances, such as when there are demonstrable serious reasons that make it impossible to use the service. In such cases, users may submit a request for a pro rata refund, which will be reviewed by SubTracker.
Subscription renewal process:
Automatic renewal: Unless canceled, the subscription will automatically renew for the selected period (monthly or annually). Users will be notified of the upcoming renewal by email 14 days before the end of the current billing period.
Change of subscription model: Users can change their subscription model (monthly/annual) at any time via their account in the “Account Settings” section. The change will take effect at the start of the next billing period.
Termination by SubTracker: SubTracker reserves the right to terminate a user’s subscription under certain conditions, including but not limited to:
Violation of Terms of Use: Violations of the Terms of Use, including unauthorized use or misuse of the Services.
Non-payment: If the fees due are not paid despite a reminder.
Legal reasons: When legal or regulatory reasons prevent the continuation of the subscription. In these cases, the user will be notified by email and the subscription will end with immediate effect. Prepaid fees for the current billing period will not be refunded in these cases.
8. User Responsibilities
Securing access data: Users are obliged to keep their access data (e.g. user name and password) safe and secret. They may not pass this data on to third parties. If they suspect unauthorized use of their account, users must inform SubTracker immediately. Users are responsible for all activities that occur using their access data.
Compliance with Laws: Users must not use SubTracker’s Services for any illegal or unauthorized purpose. They must ensure that their use of the Services complies with all applicable local, national and international laws and regulations. This includes, but is not limited to, compliance with data protection laws and regulations.
Content Responsibility: Users are responsible for all content they upload, share or edit. You may not upload content that violates applicable laws, infringes the rights of third parties, or is offensive, obscene, defamatory or otherwise inappropriate. SubTracker reserves the right to delete such content and block the user’s access.
Prohibition of using automation or scraping tools: The use of automation or scraping tools that use the service in an automated manner or extract data is strictly prohibited. These tools may affect the performance and security of the service. Users who violate this rule may be banned without warning.
Compliance with Export Control Laws and Sanctions: Users must comply with all applicable export control laws and regulations and sanctions. This includes not exporting or re-exporting any proprietary technology or services to countries or persons subject to export controls or sanctions.
Prohibition of Use for Disruptive Activities: Users may not use the Services for any activity that may disrupt the Service or interfere with other users’ use of the Service. This includes, but is not limited to, denial-of-service attacks, spam, hacking attempts, and other harmful activities. Violations may result in immediate termination of the User’s account and legal action.
9. Warranty and liability
Innopulse Consulting GmbH assumes no liability for direct or indirect damages resulting from the use of the SubTracker application, unless these damages result from intentional or grossly negligent behavior. Innopulse Consulting GmbH assumes no liability for the accuracy, completeness and timeliness of the information provided.
Disclaimers and limitations of liability: SubTracker and Innopulse Consulting GmbH will not be liable for any damages arising out of the use or inability to use the service, including but not limited to loss of data, lost profits, or business interruption. This exclusion of liability applies to the extent permitted by law.
Liability for indirect damages: Liability for indirect damages, such as lost profits or intangible losses, is excluded unless these damages result from intentional or grossly negligent behavior.
Liability of users: Users are responsible for all damages resulting from misuse of the services. This includes liability for damages caused to other users or third parties through inappropriate or illegal use of the service.
Third Party Liability: SubTracker is not liable for the actions of third parties who provide services offered through the Platform or who link to their content. Users should be aware of the risks associated with using third party services.
Force Majeure and Unforeseeable Events: SubTracker shall not be liable for any delay or failure in the provision of the Services due to events beyond its reasonable control, such as natural disasters, war, acts of terrorism, riots, legal regulations, pandemics or other unforeseeable events (force majeure).
10. Changes to the services and the terms of use
Innopulse Consulting GmbH reserves the right to change these terms of use at any time. Users will be informed of significant changes and must accept the changed conditions in order to continue using the services.
Procedure for notifying users: Users will be notified of changes by email and/or by a notice on the website. The changes will take effect 30 days after notification. If the user does not agree to the changed conditions, he has the right to terminate the contract before the changes come into effect.
Rights of users in the event of significant changes: In the event of significant changes to the terms of use, users have the right to terminate the contract without observing a period of notice. Fees already paid for the current billing period will be refunded pro rata.

Telephone: +41 79 508 28 06. Telephone support is also available for urgent matters. Our telephone support is available during business hours Monday to Friday, 9:00 a.m. to 6:00 p.m. (CET).
support process:
First request: After receiving a support request via the contact form, email or telephone, it is entered into our ticket system and a ticket number is generated for tracking.
Response time: We guarantee an initial response within 24 hours on working days.
Processing: Requests are prioritized according to urgency and complexity and forwarded to the responsible departments.
Escalation: If a problem cannot be resolved within the usual processing time, it will be escalated to a higher support level. Users will be informed about the status of their request and the next steps.
Support availability hours: Support is available during business hours Monday through Friday, 9:00 a.m. to 6:00 p.m. (CET). In emergency or critical cases, escalated requests can also be processed outside of regular business hours.
12. Calendar synchronization
Our platform offers the ability to synchronize document deadlines and contract expiries with your calendar to stay organized and receive timely notifications.
Google Calendar: Integration for automatic saving of appointments and reminders of upcoming contract expiries. For more information, see the Google privacy policy.
Apple Calendar: Integration to automatically save appointments and remind you of upcoming contract expiries. For more information, see Apple’s privacy policy.
Microsoft Calendar: Integration for automatically saving appointments and reminders of upcoming contract expiries. For more information, see the Microsoft privacy statement.
Data processing and storage: The data processed as part of calendar synchronization includes appointments, deadlines and reminders. This data is processed securely and stored exclusively for the purpose of calendar synchronization.
Data encryption: All data is encrypted both during transmission and at storage to ensure security and confidentiality.
Data conflicts and their resolution: Data conflicts can occur during synchronization processes, e.g. when an appointment is changed in multiple calendars at the same time. Users are notified when such conflicts occur and can resolve them manually by selecting the preferred version.
13. Usage data and analyses
Google Analytics: We use Google Analytics to analyze the use of our website in order to improve performance and user experience. For more information, see the Google Analytics privacy policy.
Squarespace Analytics: A standard pre-installed analytics tool from Squarespace that is based on collected cookie data.
Type of data collected: We collect usage data such as pages visited, click behavior, time spent, device types and other similar information. This data helps us understand user behavior and improve our services.
Anonymization and aggregation: All data collected is anonymized and used in aggregate form to protect user privacy.
Opt-out options: Users can disable tracking and analytics by selecting the appropriate settings in their browser or application. For more information, see our Cookie Policy.
14. Customer Care and Support
We provide comprehensive support through various channels, including a ticket system for technical issues and general inquiries. Users can contact us via the dashboard and the support page.
Support channels and availability: Support is available via email, phone and the integrated ticket system.
Guaranteed response times: We guarantee an initial response within 24 hours on working days. In urgent cases, we will endeavour to process requests more quickly.
Feedback and Complaints: Users can submit feedback and complaints through the support system. These will be answered and processed within 5 business days.
15. Changes and updates to the application
Innopulse Consulting GmbH reserves the right to change or update the functions and design of the SubTracker application at any time in order to improve the service or to meet legal requirements.
Changes due to legal requirements: Certain changes may be made without prior notice due to legal or safety requirements.
Maintenance windows: Scheduled maintenance windows will be announced at least 48 hours in advance to give users enough time to prepare.
Feedback on new features: Users can submit feedback on new features and updates through the support system. This feedback will be taken into account to further improve the usability and functionality of the application.
16. Applicable law and jurisdiction
These terms of use are governed by Swiss law. The place of jurisdiction for all disputes arising from or in connection with these terms of use is Zug, Switzerland.
Different rules for consumers within the EU: Different rules may apply to consumers within the EU, which arise from the respective national consumer protection laws.
Alternative dispute resolution procedures: Users have the option of using alternative dispute resolution procedures such as mediation or arbitration.
17. Miscellaneous
Should individual provisions of these terms of use be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by an effective provision that comes closest to the purpose of the provision.
Waiver: Failure to enforce any provision of these Terms of Use will not constitute a waiver of any other provision.
Severability Clause: If any provision of these Terms of Use is invalid, the remaining provisions will remain in full force and effect.
Precedence of Terms of Use: These Terms of Use prevail over any prior agreements between the parties.
Bindingness for Affiliates: These Terms of Use also apply to all subsidiaries and affiliates of SubTracker.
18. Security
Description of the measures SubTracker takes to ensure the security of user data and accounts.
Regular security audits: We conduct regular security audits and penetration tests to ensure the security of our systems.
Obligation to report security incidents: Users are obliged to report security incidents immediately. This also includes suspected unauthorized access or data loss.
User Responsibility: Users are responsible for taking their own security precautions, including backing up their login credentials and using up-to-date security software.
19. Intellectual Property
Clarification that all rights in the Software, Content and Services are owned by SubTracker or its licensors.
Prohibition of reproduction, distribution or other use: The reproduction, distribution or other use of the software, content and services is prohibited without express permission.
Protection of intellectual property of user content: Users retain all rights to the content they upload. However, SubTracker receives the right to use such content for the purpose of providing the Services.
Prohibition of circumvention of technical protection measures: It is prohibited to circumvent technical protection measures or to attempt to circumvent them.
20. Third Party Providers and Links
Please note that SubTracker may contain links to third party websites for whose content and privacy practices SubTracker is not responsible.
Risk of Using Third Party Websites: Users visit links to third party websites at their own risk.
Disclaimer for Content and Privacy Practices: SubTracker assumes no responsibility for the content and privacy practices of any third-party websites.
21. Export Control Laws
Clarification that users are responsible for compliance with all applicable export control laws and sanctions.

Users are obliged not to do business with sanctioned persons or countries.
